Section 1: Authority and Duties
The Board of Directors shall exercise supervision and control over the affairs and funds of the MAPE-PAC and establish and carry out all the policies and activities of the MAPE-PAC. These activities shall include, but not be limited to the following:
- Adopt an annual budget.
- Make annual reports.
- Make all funding decisions.
- Educate members on the electoral, caucus and campaign processes.
- Provide a screening team(s) to recommend endorsement of political candidates who support the goals of MAPE and state-employed professionals.
- Endorse political candidates who support the goals of MAPE and state-employed professionals.
Section 2: Composition of the Board of Directors
The Board of Directors shall consist of nine (9) contributing members. Candidates for the MAPE-PAC Board shall be recommended by a majority vote of the MAPE-PAC Board, nominated by the MAPE President and approved by the MAPE Board of Directors. The Chair of the Government Relations Committee (GRC) shall be a nonvoting ex officio member of the PAC Board.
If a Chair of the GRC is an elected member of the MAPE-PAC Board of Directors, another member of the GRC may attend the MAPE-PAC Board of Directors meetings as a nonvoting ex officio member of the MAPE-PAC Board of Directors.
The Board of Directors of MAPE-PAC shall elect from among their members a Chair, a Vice-Chair, a Treasurer, and Associate Treasurer, and a Recording Secretary.
In appointing directors to the board, the MAPE-PAC, MAPE President, and MAPE’s Board of Directors shall maintain a Board of Directors which is committed to achieving the goals of MAPE.
Section 3: Terms of Office
The terms for the initial Board of Directors shall be staggered. Three board appointments shall expire at the end of each year.
Terms of office shall be for three (3) years and shall begin in January.
Directors shall serve until their successors are duly appointed and seated. Directors may be reappointed.
Section 4: Vacancies
If it is determined that a vacancy in an office of Director exists, appointment to fill that vacancy shall be made by recommendation by a majority vote of the MAPE-PAC Board, nomination by the MAPE President and approval by the MAPE Board of Directors.
The person appointed to fill the vacancy shall serve for the remainder of the term of his/her predecessor.
A vacancy may be declared by the Board of Directors for a Director who has had three (3) consecutive unexcused absences from meetings of the Board of Directors.
